This role provides pragmatic and appropriate legal advice on all Endo Dublin’s legal matters and develops strategy across a broad range of practice areas.The Legal Counsel Director & Assistant Company Secretary works cross-functionally with other global departments, with a primary responsibility for global Supply Chain Operations; driving high quality contracting with third parties across all areas of global sourcing and working cross-functionally to provide effective advice, strategy, and problem-solving solutions to complex matters to achieve optimal outcomes for Endo, while managing appropriate levels of risk.The Legal Counsel Director and Assistant Company Secretary is also responsible for day-to-day legal matters arising in Ireland and is a key point of contact for Irish legal input on global strategic initiatives. This role assists the Secretary with company secretarial and other corporate governance matters ex-US and ex-India.Job DescriptionOperations

  • Support the planning and implementation of Endo Dublin elements of key strategic projects; provide key inputs in cross-functional teams for internal projects to identify/analyze legal issues and provide legal options and solutions; provide pragmatic advice to achieve business and legal objectives.
  • Support Human Resources with general HR queries, drafting local policies, local input on global policies, negotiating Service Agreements with talent acquisition vendors, strategic initiative advice, corporate care requirements, ex-pat queries, immigration issues (with external counsel), residential leases, TUPE issues.
  • Support facilities with vendor agreements, commercial lease advice, fit-out agreements, and other project specific issues.
  • Ensure day-to-day operations comply with existing policies and procedures in relation to entity management and tax planning.
  • Support Paladin and Endo USA PV teams with review of SDEAs/PV Agreements from Irish law perspective. Support Paladin regulatory teams with review of Health Canada documents to be entered into by EOL.
  • As a member of Endo Dublin’s senior & operational leadership teams, participate in developing direction and strategy for Endo Dublin as Endo’s strategic hub to build a high performance organization.

30%Contracts

  • Draft, review, and negotiate various types of commercial, quality, supply, customer, settlement and other agreements between Endo Dublin or its affiliates (including Paladin) and third parties.
  • Provide guidance to Strategic Sourcing teams in relation to overall contract strategy and mitigation of risks for Endo.
  • Provide expert counsel, management, and strategy for the resolution of contractual and other quality/supply chain disputes, including drafting termination and settlement agreements in respect thereof.
  • Work collaboratively with other departments/functions to ensure that the concerns of each function are addressed in agreements and resolution of disputes.
  • Advise departments/functions on terms and conditions of existing agreements, proactively provide advice in relation to gaps and measures required to mitigate risk.
  • Ensure new agreements are entered into by the appropriate Endo entity, liaising with Endo Tax/Endo IP where necessary; ensure compliance with internal policies.

55%General Corporate Matters/ Governance/ Tax

  • Act as company director and Assistant Company Secretary for Endo’s Irish subsidiaries managed from Ireland and others as required.
  • Assist with maintaining organizational compliance with Global Data Protection Regulation (GDPR); lead Endo Dublin GDPR initiatives as they arise.
  • Assist Tax department with drafting and reviewing intracompany agreements, and other ad hoc tax driven requirements.

10%Miscellaneous

  • Manage outside counsel.

5%Education & ExperienceMinimal acceptable level of education, work experience and certifications required for the job

  • Minimum Irish law degree.
  • Minimum 11 years’ post-qualified experience at a law firm and/or in-house.
  • Admitted to practice law in Ireland.

KnowledgeProficiency in a body of information required for the jobe.g. knowledge of FDA regulations, GMP/GLP/GCP, Lean Manufacturing, Six-Sigma, etc.

  • Expert knowledge of contract law.
  • Knowledge of local employment law.
  • Knowledge of GDPR.
  • Knowledge of Irish corporate legal requirements.
