Our client is authorised by the Central Bank of Ireland as a UCITS Management Company, Alternative Investment Fund Manager, and Fund Administrator. We are seeking an ambitious, experienced Funds lawyer to join its expanding legal team based in Dublin, providing legal advice and support both to the organisation and the funds under management.This role offers the opportunity to join during an exciting period of growth within the Irish operations, with significant career development potential for the right candidate. You will gain valuable experience working within a broader global legal team and interacting with colleagues across various functions and jurisdictions.JOB DUTIES:

  • Conduct ongoing legal reviews of fund documentation, including prospectus, supplements, KIIDs, and agreements for new fund approval or amendments to existing funds.
  • Liaise with the Central Bank of Ireland and appointed legal counsel for UCITS Funds and AIFs under management on legal matters, including new fund approvals, fund amendments, and updates to meet regulatory requirements (e.g., ESG).
  • Manage the process of instructing external legal counsel across various projects.
  • Draft and negotiate fund contracts, including management, investment management, distribution, administration, and depositary agreements.
  • Provide legal advice and guidance on compliance and corporate governance matters.
  • Work closely with the compliance department on implementing regulatory requirements.
  • Collaborate on projects with the global legal function and the global marketing and business development teams, including new fund launches and group initiatives.
  • Manage the registration process of UCITS for marketing in other jurisdictions with the appointed registration agent.
  • Oversee duties and obligations as outlined in the Programme of Operations, including coordinating with designated persons responsible for designated functions and the OE director.
  • Maintain and enhance the framework and reporting structure for regular compliance reporting to senior management and the Boards of Directors.
  • Prepare documentation for monthly and quarterly board meetings.
  • Liaise with the Head of Operations to ensure all regulatory correspondence is approved and ONR reporting is completed accordingly.
  • Review KIID Documentation, including annual and ad hoc updates.
  • Work with the appointed Company Secretary, including board meeting/pack preparation, and liaising with report providers and board members.

REQUIREMENTS

  • Irish qualified lawyer with 2-3 years post-qualification experience in an Asset Management/Investment Funds team at a law firm, or in-house at a Management Company, Fund Administrator, or Financial Services business.
  • Excellent technical knowledge of the relevant legal and regulatory landscape, including Central Bank of Ireland requirements.
  • Prior experience liaising with the Central Bank is advantageous.
  • Knowledge of international regulation and experience with an international client base is a plus.
  • Experience presenting to senior management and boards of directors.
  • Strong client relationship management and development skills.
  • Experience and willingness to attend relevant industry networking events.
